Agreement to Terms

This Terms of Use Agreement ("Agreement") constitutes a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User") and AMRescue ("we," "us," or "our"), concerning your access to and use of the AMRescue website (https://www.amrescue.com) as well as any related applications, software, tools, and services (collectively, the "Services").

By accessing or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by all of the terms and conditions contained in this Agreement. If you do not agree with all of these terms and conditions, then you are expressly prohibited from using the Services and you must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to this Agreement at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of this Agreement, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review this Agreement to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Agreement by your continued use of the Services after the date such revised Agreement is posted.

IMPORTANT NOTICE: The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services. By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement.

Services Description

AMRescue provides professional file repair, data recovery, and technical support services through our online platform. Our Services include, but are not limited to:

  • Automated File Repair Tools: Web-based tools for repairing corrupted Microsoft Excel (.xls, .xlsx), Word (.doc, .docx), PowerPoint (.ppt, .pptx), PDF (.pdf), and various image format files. These tools are provided free of charge for personal use within specified limitations.
  • File Conversion Services: Tools for converting files between different formats, including but not limited to PDF to Word, Excel to CSV, HEIC to JPG, and various other supported conversion pairs.
  • Outlook and Email Recovery: Professional services for diagnosing and repairing Microsoft Outlook issues, recovering data from corrupted email files (OST, PST, MBOX, NSF, EML), and reverting New Outlook interfaces back to Classic Outlook configurations.
  • Business IT Support: Enterprise-level technical support services including Exchange Server troubleshooting, email migration, business continuity support, and remote technical assistance for critical IT issues.
  • Consultation Services: Technical consultation, diagnostic analysis, and advisory services related to file corruption, data recovery, and system optimization.
Service Limitations: While we employ advanced technologies and methodologies to maximize success rates, we cannot guarantee 100% recovery or repair of all files. The extent of recovery depends on multiple factors including the nature and extent of corruption, file format, and technical constraints.

2.1 Free vs. Paid Services

Certain Services are provided free of charge ("Free Services"), while others require payment ("Paid Services"). The specific terms applicable to each service type are as follows:

User Responsibilities and Acceptable Use

3.1 User Representations and Warranties

By using the Services, you represent and warrant that:

  • You have the legal capacity and authority to enter into this Agreement
  • All registration information you submit will be true, accurate, current, and complete
  • You will maintain the accuracy of such information and promptly update it as necessary
  • You own or have obtained all necessary rights, permissions, and consents to upload, submit, and process files through our Services
  • Your use of the Services will not violate any applicable law or regulation
  • You will not use the Services for any illegal or unauthorized purpose

3.2 Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. As a User of the Services, you agree not to:

  • Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us
  • Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords
  • Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Services and/or the Content contained therein
  • Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services
  • Use any information obtained from the Services in order to harass, abuse, or harm another person
  • Make improper use of our support services or submit false reports of abuse or misconduct
  • Use the Services in a manner inconsistent with any applicable laws or regulations
  • Upload files that contain viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services
  • Attack the Services via a denial-of-service attack or a distributed denial-of-service attack
  • Otherwise attempt to interfere with the proper working of the Services

3.3 File Upload Guidelines

When uploading files to our Services, you must adhere to the following guidelines:

File Ownership and Rights
You must own the files you upload or have explicit permission from the copyright holder to process them through our Services. Uploading files you do not have rights to constitutes copyright infringement and may result in immediate termination of your access and legal action.
File Types and Formats
Only upload files in formats explicitly supported by our Services as indicated on the relevant service pages. Attempting to upload unsupported file types may result in processing failures and potential service disruptions.
File Size Limitations
Each service has specific file size limitations as published on our website. Files exceeding these limits will be rejected. For larger files, please contact our support team for alternative arrangements.
Content Restrictions
Do not upload files containing illegal content, including but not limited to child exploitation material, terrorist content, or content that infringes on intellectual property rights. Such uploads will be reported to appropriate authorities.

Intellectual Property Rights

Unless otherwise indicated, the Services are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Services (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, international copyright laws, and international conventions.

The Content and the Marks are provided on the Services "AS IS" for your information and personal use only. Except as expressly provided in this Agreement, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

4.1 License to Use Services

Provided that you are eligible to use the Services, you are granted a limited license to access and use the Services and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Services, the Content and the Marks.

4.2 User Content

We do not claim ownership of any files, data, or materials you upload, submit, or process through our Services ("User Content"). You retain all ownership rights to your User Content. However, by uploading or submitting User Content to the Services, you hereby grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Services and our business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.

This license includes the right for us to make your User Content available to other users of the Services, who may also use your User Content subject to these Terms. You represent and warrant that you have all the rights, power, and authority necessary to grant the rights granted herein to any User Content that you submit.

Data Retention: User Content is automatically deleted from our servers within 2 hours of processing completion. For paid services requiring longer retention, specific retention periods will be outlined in your service agreement. We implement industry-standard security measures to protect User Content during processing but cannot guarantee absolute security.

Fees and Payment Terms

Certain aspects of the Services may be provided for a fee or other charge. If you elect to use Paid Services, you agree to the pricing, payment, and billing policies applicable to such fees and charges, as posted or otherwise communicated to you. All fees and charges are payable in accordance with payment terms in effect at the time the fee or the charge becomes payable.

5.1 Pricing Structure

Our pricing structure is as follows:

  • Automated Tools: Free for personal, non-commercial use with reasonable limitations
  • Diagnostic Services: diagnostic analysis fee, payable in advance
  • Professional Repair: Quoted individually based on file complexity, required effort, and success probability
  • Business Support: Custom pricing based on scope, duration, and service level requirements

5.2 Payment Processing

We use third-party payment processors to bill you through a payment account linked to your account on the Services. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to this Agreement. We are not responsible for errors by the payment processor. By choosing to use Paid Services, you agree to pay us, through the payment processor, all charges at the prices then in effect for any use of such Paid Services in accordance with the applicable payment terms, and you authorize us, through the payment processor, to charge your chosen payment provider.

5.3 Refund Policy

Our refund policy is as follows:

  • Diagnostic Fees: Non-refundable once analysis has commenced
  • Professional Services: Refunds may be available if we are unable to deliver the promised results, subject to the specific terms of your service agreement
  • Business Services: Refund terms specified in individual service level agreements
  • Processing Time: Refunds, when approved, are processed within 14 business days to the original payment method
NO GUARANTEES: While we strive for optimal results, we do not guarantee 100% success in file repair or data recovery. The nature of data corruption and recovery means that some files may be irrecoverable despite our best efforts.

Disclaimer of Warranties and Limitation of Liability

6.1 Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES AND ALL INFORMATION, PRODUCTS, AND OTHER CONTENT (INCLUDING THAT OF THIRD PARTIES) INCLUDED IN OR ACCESSIBLE FROM THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT (I) THE SERVICES WILL MEET YOUR REQUIREMENTS, (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS, OR (V) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

6.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AMRESCUE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

6.3 User Responsibilities

You acknowledge and agree that:

  • You are solely responsible for maintaining adequate backups of your important files and data
  • We are not responsible for any data loss that occurs during file transfer, processing, or as a result of using our Services
  • You should evaluate the results of our Services before relying on them for critical purposes
  • You are responsible for ensuring that files uploaded to our Services do not contain sensitive information unless absolutely necessary

Indemnification

You agree to defend, indemnify, and hold harmless AMRescue, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in this Agreement, or your use of any information obtained from the Services.

This indemnification obligation will survive the termination of this Agreement and your use of the Services. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

Termination

This Agreement shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THIS AGREEMENT, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THIS AGREEMENT OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

8.1 Effect of Termination

Upon termination of this Agreement:

  • Your right to use the Services will immediately cease
  • All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability
  • Any outstanding payments will become immediately due and payable
  • We may delete your User Content in accordance with our data retention policies

Governing Law and Dispute Resolution

9.1 Governing Law

This Agreement and your use of the Services are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

9.2 Dispute Resolution

Any dispute arising from or relating to the subject matter of this Agreement shall be finally settled by arbitration in New Castle County, Delaware, using the English language in accordance with the Arbitration Rules and Procedures of the American Arbitration Association then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.

The arbitrator shall be selected from the appropriate list of AAA arbitrators in accordance with such Rules. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, each party shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief pending a final decision by the arbitrator.

9.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

10

Miscellaneous Provisions

10.1 Entire Agreement

This Agreement, together with the Privacy Policy and any other legal notices published by us on the Services, shall constitute the entire agreement between you and AMRescue concerning the Services. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect.

10.2 No Waiver

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

10.3 Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

10.4 Assignment

This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by AMRescue without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

10.5 Force Majeure

We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.

10.6 Changes to Terms

We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

If you do not agree to these terms, please do not use our Services.
